The Fog of Investing

Every important investment decision is made before the future reveals the answers.

Last week, Persistent Systems announced the biggest strategic decision in its history: the acquisition of Nagarro.

The scale of the transaction is hard to ignore.

  • Transaction value: US$1.5 billion

  • Combined annual revenue: US$2.9 billion

  • Employees: 46,000+

  • Enterprise customers: 350+

  • North America revenue: US$1.7 billion

  • Europe revenue: US$600+ million

The market wasn't impressed. The stock corrected nearly 12% as investors worried about the high acquisition premium, increased debt, and execution risks.

I have analysed the investor presentation, board filings, and investor FAQs. I came away with one simple observation.

The market and the management are looking at exactly the same facts. Yet they have reached completely different conclusions.

The Market's Concerns

The market appears to be saying one simple thing: Persistent has become a much riskier business than it was a week ago.

The concerns are straightforward.

  • Did Persistent overpay? A premium of nearly 140% leaves almost no room for execution mistakes.

  • Can the company handle the debt? Persistent has gone from a debt-free balance sheet to taking on significant acquisition debt.

  • Can management integrate such a large business? It is the biggest execution challenge in the company's history.

  • Was Nagarro the right business to buy? Its recent growth had slowed, and margins were under pressure.

  • Was this strategic... or FOMO? Whether this was a bold strategic move or a fear of being left behind.

The market's conclusion is simple.

Until management proves this acquisition will create value, Persistent deserves a lower valuation than it did before. And hence the stock price tanked.

Management's Narrative

Management appears to be looking at the same acquisition very differently.

Their argument is equally straightforward.

  • We didn't just buy a company. We bought a business that would have taken years to build. Customer relationships, engineering talent, delivery centres and a meaningful European presence cannot be created overnight.

  • This wasn't an impulsive decision. Persistent has spoken publicly for years about building a stronger presence in Europe. Nagarro simply accelerates that journey.

  • We bought capabilities, customers, and geography in one transaction. As AI reshapes enterprise technology, larger engineering companies with global capabilities are likely to have a stronger competitive position.

  • Judge this acquisition over 5–10 years, not over the next few quarters. Large strategic acquisitions take time to integrate, execute, and create value.

Management's conclusion is equally simple. This acquisition may look expensive today, but if executed well, it could look remarkably cheap a decade from now.

Who Is Right?

The honest answer is...Nobody knows.

This is the biggest strategic acquisition in Persistent's history.

Today, the market believes Persistent has taken a huge risk.

Maybe it has.

History tells us that many transformational acquisitions looked expensive on Day One and brilliant a decade later.

History also tells us that many acquisitions with great strategic promise eventually destroyed shareholder wealth.

This deal could go either way.

Persistent has never integrated a business of this scale before.

  • 46,000+ employees.

  • 350+ enterprise customers.

  • Multiple countries.

  • Different cultures.

  • Different leadership teams.

One mistake can destroy enormous value.

One successful integration can create enormous value.

That is both the risk... and the opportunity.

At the same time, Persistent has one of the most respected management teams in Indian IT. Anand Deshpande has spent more than three decades building the company. This is probably the biggest capital allocation decision of his career.

His reputation is now inseparable from the success or failure of this acquisition.

If anyone has the experience and the motivation to make it work, it is this management team.

So, who wins?

The market's concerns... or management's conviction?

Only time will tell.

The Fog of Investing

In military strategy, there is a well-known phrase: The Fog of War.

It describes a battlefield where decisions must be made without complete information. No commander knows exactly how the battle will unfold.

Yet the decision cannot wait.

The parallels between warfare and investing have always fascinated me. I explored this idea in much greater detail in my book, The Art of War for Stock Market Investors.

The Persistent-Nagarro acquisition illustrates that idea perfectly.

Investing is remarkably similar to war.

Every important investment decision is made in the Fog of Investing.

  • You never know whether management will execute.

  • Whether an acquisition will succeed.

  • Whether synergies will emerge.

  • Or, most importantly, whether shareholders will ultimately benefit.

The future remains uncertain. Yet you still have to make a decision.

Hold.

Add More.

Or Exit.

And that is why I love investing.

It constantly demands intellectual rigour, independent thinking and the courage to make the best possible decision... even when you don't know what lies ahead.
